İşbu Sözleşme;
www.trio-gold.com internet sitesinin faaliyetlerini yürüten,
[RESMİ ADRESİ EKLEYİNİZ], Türkiye adresinde mukim
W&S Kuyumculuk San. ve Tic. Ltd. Şti.
(bundan sonra “Trio Gold” olarak anılacaktır)
ile
www.trio-gold.com internet sitesini üye olmadan ziyaret eden ve/veya alışveriş yapan internet kullanıcısı (“Misafir”) ya da siteye üye olan internet kullanıcısı (“Üye”) arasında akdedilmiştir.
Misafir ve Üye, birlikte ve ayrı ayrı “Kullanıcı” olarak anılacaktır.
Sözleşmenin Konusu ve Kapsamı
İşbu Sözleşme’nin konusu ve kapsamı; Kullanıcı’nın www.trio-gold.com internet sitesini kullanma şartlarının belirlenmesi ile Taraflar’ın hak ve yükümlülüklerinin düzenlenmesidir.
Genel Kullanım Şartları
3.1 18 yaşından küçük kişilerin internet sitesi üzerinden alışveriş yapması yasaktır. Kullanıcı, sipariş vermekle veya üye olmakla 18 yaşını doldurmuş olduğunu beyan eder.
3.2 Üyelik; Kullanıcı’nın kişisel bilgilerini girmesi, şifre oluşturması, işbu Sözleşme’yi okuyup kabul etmesi ve “Üye Ol” butonunu tıklaması ile tamamlanır.
Üye, dilediği zaman üyeliğini sonlandırabilir ve hesabını silebilir.
Trio Gold, üyelik sistemini tek taraflı olarak sona erdirme, hesapları kısmen veya tamamen silme ya da anonimleştirme hakkını saklı tutar.
www.trio-gold.com üzerinden alışveriş yapmak için üye olmak zorunlu değildir.
Üye olan Kullanıcı; kampanyalardan yararlanabilir, alışveriş deneyimini kişiselleştirebilir, sepetindeki ve favori ürünlerindeki ürünleri kaydedebilir.
3.3 Kullanıcı, üyelik veya alışveriş sırasında verdiği tüm kişisel ve işlem bilgilerinin doğru ve güncel olduğunu beyan eder.
Yanlış veya gerçeğe aykırı bilgi verilmesinden doğabilecek zararlardan Trio Gold sorumlu değildir.
Bu nedenle Trio Gold’un zarara uğraması halinde, Kullanıcı zararı derhal ve aynen tazmin edeceğini kabul eder.
Bir Kullanıcı, birden fazla hesap oluşturamaz veya başkasına ait bilgilerle üyelik oluşturamaz.
3.4 www.trio-gold.com üzerinden sunulan ürünler yalnızca kişisel tüketim amacıyla tüketicilere satılmaktadır.
Kullanıcı, alışverişi ticari amaçla yapmadığını kabul ve beyan eder.
Kullanıcı’nın ticari amaçla hareket ettiğinin tespiti halinde Trio Gold; üyeliği sonlandırma ve/veya satış sözleşmelerini feshetme hakkına sahiptir. Bu durumda Kullanıcı’nın herhangi bir tazminat talep hakkı bulunmaz; Trio Gold’un tazminat hakları saklıdır.
3.5 www.trio-gold.com üzerinde yer alan fiyatlar, kampanyalar ve satış koşulları yalnızca online satışlar için geçerlidir.
Bu koşullar Trio Gold’un fiziki mağazaları veya diğer satış kanalları için bağlayıcı değildir.
3.6 İnternet sitesindeki içerik ve stok durumu düzenli olarak kontrol edilmektedir. Bazı ürünler talep üzerine üretilebilir.
Stokta bulunmayan, üretimi mümkün olmayan, fiyatı veya teknik bilgileri hatalı girilmiş bir ürünün listelenmesi halinde Trio Gold, ürünü yayından kaldırma veya bilgilerini güncelleme hakkına sahiptir.
Bu gibi durumlarda Trio Gold, Kullanıcı’yı bilgilendirerek siparişi iptal edebilir ve bedeli iade edebilir.
3.7 www.trio-gold.com, Trio Gold’a ait olmayan üçüncü taraf internet sitelerine bağlantılar içerebilir. Bu sitelerin içeriklerinden ve güvenliğinden Trio Gold sorumlu değildir. Bu sitelere erişim tamamen Kullanıcı’nın sorumluluğundadır.
3.8 Üye’nin oluşturduğu şifrenin kullanımı ve korunması tamamen Üye’nin sorumluluğundadır. Şifre üçüncü kişilerle paylaşılamaz.
Yetkisiz kullanım nedeniyle Trio Gold’a yöneltilecek taleplerde, Trio Gold’un Üye’ye karşı her türlü rücu ve tazminat hakkı saklıdır.
3.9 Kullanıcı, www.trio-gold.com internet sitesini yürürlükteki mevzuata uygun şekilde kullanacağını kabul eder. Aksi kullanım nedeniyle doğabilecek tüm hukuki ve cezai sorumluluk Kullanıcı’ya aittir.
3.10 www.trio-gold.com üzerindeki her türlü tasarruf yetkisi Trio Gold’a aittir. Trio Gold; site içeriğinde, sunulan hizmetlerde, ürünlerde ve kullanım koşullarında dilediği zaman değişiklik yapabilir.
Bu değişiklikler sitede yayımlandığı anda yürürlüğe girer. Gerekli görülen durumlarda Kullanıcı’lar e-posta yoluyla bilgilendirilebilir.
3.11 Trio Gold, internet sitesini virüs ve zararlı yazılımlara karşı korumak için gerekli önlemleri almıştır.
Kullanıcı, kendi cihaz ve sistemlerinde gerekli güvenlik önlemlerini almakla yükümlüdür. Kullanıcı’nın kendi sistemlerinden kaynaklanan doğrudan veya dolaylı zararlardan Trio Gold sorumlu değildir.
Kişisel Verilerin Korunması ve Gizlilik
Kullanıcı bilgilerinin güvenliği, Trio Gold’un Kişisel Verilerin Korunmasına İlişkin Aydınlatma Metni uyarınca sağlanmaktadır.
Ödeme kartı bilgileri Trio Gold tarafından saklanmaz veya işlenmez; ödeme işlemi, yetkili ödeme hizmet sağlayıcısı aracılığıyla doğrudan Kullanıcı tarafından gerçekleştirilir.
Fikri ve Sınai Mülkiyet Hakları
www.trio-gold.com internet sitesinde yer alan tüm içerikler; metinler, görseller, tasarımlar, markalar, logolar, sloganlar, site yapısı, arayüz, yazılımlar ve sair tüm fikri ve sınai mülkiyet hakları Trio Gold’a aittir.
Bu içeriklerin Trio Gold’un yazılı izni olmaksızın kısmen veya tamamen kopyalanması, çoğaltılması, değiştirilmesi, yayımlanması, dağıtılması veya ticari amaçla kullanılması yasaktır.
Kullanıcı, Trio Gold ile doğrudan veya dolaylı rekabet oluşturacak herhangi bir faaliyette bulunmayacağını kabul eder.
Elektronik Ticari İletiler
Kullanıcı, www.trio-gold.com üzerinden verdiği onay ile Trio Gold’un markaları, ürünleri, kampanyaları, promosyonları, kutlamaları ve üyelik bilgilendirmeleri hakkında elektronik ticari ileti almayı kabul edebilir.
Kullanıcı, dilediği zaman gönderilen iletilerde belirtilen yöntemle bu iletileri almaktan vazgeçebilir.
Delil Sözleşmesi
Taraflar, Trio Gold’a ait tüm elektronik kayıtların, sistem loglarının ve ticari defterlerin, 6100 sayılı Hukuk Muhakemeleri Kanunu’nun 193. maddesi uyarınca kesin delil niteliğinde olduğunu kabul eder.
Uygulanacak Hukuk ve Yetki
İşbu Sözleşme, Türkiye Cumhuriyeti hukukuna tabi olup, bu hukuka göre yorumlanacaktır.
İşbu Sözleşme’den doğan veya doğabilecek her türlü uyuşmazlıkta İstanbul (Çağlayan) Mahkemeleri ve İcra Daireleri münhasıran yetkilidir.
Mücbir Sebep
Taraflar; doğal afetler, deprem, yangın, sel, salgın hastalıklar, pandemi, kamu otoritelerinin kararları, savaş, terör, iç karışıklıklar, grev, lokavt, tedarik zinciri aksaklıkları, değerli maden ve taş temininde yaşanan kesintiler, ulaşım veya enerji altyapısı arızaları gibi Taraflar’ın kontrolü dışında gelişen mücbir sebep hallerinde, yükümlülüklerini yerine getirememelerinden veya gecikmelerinden sorumlu tutulamaz.
Mücbir sebep süresince Trio Gold’un yükümlülükleri askıya alınır. Trio Gold, durumu makul süre içerisinde Kullanıcı’ya bildirir.
Mücbir sebebin uzun süre devam etmesi halinde Trio Gold, siparişi iptal ederek ödenen bedeli iade etme hakkına sahiptir.
Yürürlük
Kullanıcı; www.trio-gold.com internet sitesini kullanmakla, alışveriş yapmakla veya üye olmakla işbu TRIO GOLD İNTERNET SİTESİ KULLANIM VE ÜYELİK SÖZLEŞMESİ’ni okuduğunu, anladığını ve kabul ettiğini beyan eder.
Terms Of Use And Membership Agreement
Parties
This Agreement is entered into between:
The company conducting the activities of the website www.trio-gold.com, having its registered address at [INSERT OFFICIAL ADDRESS], Türkiye,
W&S Kuyumculuk San. ve Tic. Ltd. Şti.
(hereinafter referred to as “Trio Gold”),
and
The internet user who accesses and/or shops on the website www.trio-gold.com without registering (hereinafter referred to as the “Guest”), or the internet user who registers as a member (hereinafter referred to as the “Member”).
Guests and Members shall individually and collectively be referred to as the “User.”
Purpose and Scope of the Agreement
The purpose and scope of this Agreement is to determine the terms and conditions governing the User’s access to and use of the website www.trio-gold.com, as well as to define the rights and legal obligations of the Parties.
General Terms of Use
3.1 Persons under the age of 18 are not permitted to make purchases through the website. By placing an order or registering as a Member, the User declares that they are at least 18 years old.
3.2 Membership is completed by entering personal identification details, creating a password, reading and accepting the terms of this Agreement, and clicking the “Register” button.
The Member may terminate their membership and delete their account at any time.
Trio Gold reserves the right, at its sole discretion, to terminate the membership system or to partially or fully delete or anonymize accounts.
Membership is not mandatory to place an order on www.trio-gold.com.
By registering as a Member, the User may benefit from campaigns, personalize their shopping experience, and save items in their cart or favorites.
3.3 The User declares that all personal and transactional information provided during registration or purchase is accurate and up to date. Trio Gold shall not be held liable for any incorrect or misleading information provided by the User.
If Trio Gold incurs any damage due to false or inaccurate information, the User shall indemnify Trio Gold immediately and in full.
A User may not create multiple accounts or register using another person’s information.
3.4 Products offered on www.trio-gold.com are sold exclusively to consumers for personal use.
The User declares that purchases are made solely for personal consumption.
If it is determined that the User is acting for commercial purposes, Trio Gold reserves the right to terminate the membership and/or cancel related sales contracts without compensation. Trio Gold’s right to claim damages remains reserved.
3.5 Prices, campaigns, and sales conditions displayed on www.trio-gold.com apply only to online purchases.
Such conditions are not required to apply in Trio Gold physical stores or other sales channels.
3.6 Website content and stock availability are regularly monitored. Some products may be produced upon request.
If a product that is unavailable, no longer producible, incorrectly priced, or incorrectly described is listed, Trio Gold reserves the right to remove or update such listings.
In such cases, Trio Gold may cancel the order and refund the paid amount after notifying the User.
3.7 www.trio-gold.com may contain links to third-party websites not owned or controlled by Trio Gold. Trio Gold bears no responsibility for the content or security of such websites. Accessing such websites is entirely at the User’s own risk.
3.8 The responsibility for protecting and using the Member’s password lies solely with the Member. Passwords may not be shared with third parties.
If unauthorized use leads to claims against Trio Gold, Trio Gold reserves all rights of recourse and compensation against the Member.
3.9 The User undertakes to use www.trio-gold.com in compliance with applicable laws. Any legal or criminal liability arising from unlawful use shall belong exclusively to the User.
3.10 All rights of disposition over www.trio-gold.com belong to Trio Gold. Trio Gold may modify website content, services, products, or usage conditions at any time.
Such changes shall become effective upon publication on the website. Trio Gold may notify Users of significant changes via email.
3.11 Trio Gold takes the necessary precautions to protect the website from viruses and malicious software.
The User is responsible for ensuring adequate security measures on their own devices and systems. Trio Gold shall not be liable for damages arising from the User’s software or operating systems.
Protection of Personal Data and Privacy Policy
Necessary measures for the security of User information are taken in accordance with the Personal Data Protection Disclosure Notice of Trio Gold, available on www.trio-gold.com.
Payment card information is not processed or stored by Trio Gold and is transmitted directly by the User to the authorized payment service provider.
Intellectual and Industrial Property Rights
All content on www.trio-gold.com, including but not limited to texts, visuals, designs, images, trademarks, logos, slogans, website structure, interface, software, and all related intellectual and industrial property rights, belong exclusively to Trio Gold.
Copying, reproducing, modifying, publishing, transmitting, distributing, selling, or using any content in whole or in part without prior written consent is strictly prohibited.
The User undertakes not to engage in any activity that would constitute direct or indirect competition with Trio Gold.
Electronic Commercial Communications
By providing consent through www.trio-gold.com, the User may receive electronic commercial communications related to Trio Gold’s brands, products, promotions, campaigns, celebrations, and membership updates via email.
The User may withdraw consent at any time by following the opt-out instructions included in such communications.
Evidence Agreement
The Parties accept and declare that all electronic records, system logs, and commercial records of Trio Gold shall constitute exclusive evidence pursuant to Article 193 of the Turkish Code of Civil Procedure.
Governing Law and Jurisdiction
This Agreement shall be governed by and construed in accordance with the laws of the Republic of Türkiye.
Any disputes arising out of or in connection with this Agreement shall be subject to the exclusive jurisdiction of the courts and enforcement offices of Istanbul (Çağlayan), Türkiye.
Force Majeure
Neither Party shall be liable for any failure or delay in the performance of its obligations under this Agreement if such failure or delay results from events beyond its reasonable control, including but not limited to acts of God, natural disasters, earthquakes, fires, floods, pandemics, epidemics, governmental actions, wars, terrorism, civil unrest, labor disputes, strikes, supply chain disruptions, shortages of raw materials (including precious metals and stones), transportation interruptions, or failures of communication or energy infrastructure (“Force Majeure Event”).
In the event of a Force Majeure Event, Trio Gold’s obligations shall be suspended for the duration of such event. Trio Gold shall notify the User as soon as reasonably possible.
If the Force Majeure Event continues for an extended period, Trio Gold reserves the right to cancel the order and refund any amounts paid.
Entry into Force
By accessing, using, shopping on, or registering on www.trio-gold.com, the User acknowledges that they have read, understood, and accepted this TRIO GOLD WEBSITE TERMS OF USE AND MEMBERSHIP AGREEMENT.
